Editor Agreement
Draft — pending legal review. A strict first draft of the agreement an Editor accepts on joining Moving Pictures. It has not been reviewed by counsel and is not binding until finalized and accepted at sign-up. Payout figures and timing are illustrative.
This Editor Agreement is between you (the "Editor") and LF Digital Solutions LLC, operating the Moving Pictures platform (the "Platform"). It supplements the Terms of Service. By accepting work on the Platform you agree to all of the following.
1. Independent contractor
You are an independent contractor, not an employee, partner or agent of the Platform (except the limited payment-collection agency described in §6). You control how you perform your work, supply your own equipment and software, are responsible for your own taxes, and may work for others — subject to §5.
2. The work
You accept projects matched to you, perform the editing to the agreed brief and quality standard, deliver in the project workspace, and complete the included revision rounds. You warrant that your work is your own, is original or properly licensed, and does not infringe any third party's rights.
3. Full assignment of rights on delivery
On delivery and on capture of the project payment, you irrevocably assign to the Creator all right, title and interest, worldwide, in and to the delivered cut and all related deliverables — including all copyright and other intellectual property — to the maximum extent permitted by law. To the extent any right cannot be assigned, you grant the Creator a perpetual, worldwide, royalty-free, exclusive, sublicensable licence to it, and waive any moral rights in the deliverables.
You retain no rights in the delivered work. You may display the delivered work in your portfolio only with the Creator's consent (the Platform can request this on your behalf at brief time). You acquire no rights in the Creator's source footage, brand assets or materials — those remain the Creator's and are confidential to you.
4. Confidentiality
Creator briefs, footage, brand materials, contact details, unreleased content and any non-public information you access through the Platform are confidential. You will use them only to perform the project and will not disclose, retain beyond the project, or repurpose them. You will delete source materials on request and on Platform off-boarding, except where retention is required by law.
5. No off-platform solicitation — no taking clients off-platform
This is a core term. While using the Platform and for 12 months after your last project with a given Creator, you will not, directly or indirectly:
- solicit, encourage or accept editing work from a Creator you met or worked with through the Platform outside the Platform;
- give a Platform Creator your personal contact details, payment details, or links for the purpose of transacting off-platform;
- attempt to invoice, be paid, or arrange recurring work with a Platform Creator other than through the Platform; or
- divert, poach or disintermediate any Platform relationship.
If you breach this section, the Platform may terminate your account immediately and charge a circumvention fee equal to the Platform fees it would reasonably have earned on the diverted work (without limiting its other remedies). The Platform exists to bring you clients, payment security and cross-border payouts; this term protects that.
6. Payment & payout terms
- Agent of payee. You appoint the Platform as your limited agent to collect the project price from the Creator on your behalf. The Creator's payment to the Platform discharges the Creator's obligation to you.
- You are paid on Creator approval. Your payout for a project is released after the delivery is approved (or auto-approved) and the Creator payment is captured. You are paid your agreed payout for the project; the Creator-facing price and the Platform margin are set by the Platform and are not your concern or entitlement.
- Cross-border payout. Payouts to Editors (including in Indonesia) are made through licensed providers such as Wise. You are responsible for providing accurate payout details and for taxes and any local fees on your side.
- No payment without an approved delivery. Unstarted or undelivered projects, or deliveries that fail dispute review, do not earn a payout.
7. Quality, vetting & conduct
You were vetted to join and agree to maintain that standard. The Platform may review your work, request revisions, pause matching, or remove you for repeated late delivery, quality issues, poor communication, or conduct that harms Creators or the Platform. You will communicate professionally and keep project history in the workspace.
8. Term & termination
Either party may end this Agreement at any time. You must complete or hand off active projects. Sections 3 (assignment), 4 (confidentiality), 5 (non-solicitation, for its stated period), 6 (payment for completed work) and 9 survive termination.
9. Liability
You are responsible for your own work and warranties. To the extent permitted by law, the Platform is not liable to you for indirect or consequential loss, and its aggregate liability to you is limited to payouts owed to you for completed projects.
