Creator / Client Agreement
Draft — pending legal review. A strict first draft of the agreement a Creator (client) accepts when they hire through Moving Pictures. It has not been reviewed by counsel and is not binding until finalized and accepted at sign-up.
This Creator Agreement is between you (the "Creator") and LF Digital Solutions LLC, operating the Moving Pictures platform (the "Platform"). It supplements the Terms of Service. By briefing a project you agree to all of the following.
1. Briefing a project
You describe the cut you need — format, finished length, style, deadline — and upload your footage to the secure project workspace. You are responsible for the brief's accuracy and for holding all rights to the footage and materials you upload (see §6).
2. Price, authorization & capture
- One published price. Each project has a single Platform price, shown before you commit. There are no credits, per-line fees or in-app unlocks.
- Authorize on brief. When you brief a project, your payment method is authorized for the project price. You are not charged yet.
- Capture on approval. You are charged only when you approve the delivery (or when it auto-approves after the review window shown in-platform). If a project is cancelled before work begins, the authorization is released.
- Card-hold note. Card authorizations expire after a short period; for longer turnarounds we may re-authorize or move the project price into escrow so your editor can be paid on approval.
3. Revisions & approval
The included number of revision rounds is shown at brief time; further rounds are available as paid add-ons. Review each delivery in the workspace and either approve it or request a revision within the review window. If you take no action within that window, the delivery may be auto-approved and your payment captured.
4. Ownership on delivery
On your approval and the capture of payment, all right, title and interest in the delivered cut and related deliverables transfer to you, worldwide — your editor assigns them to you in full under the Editor Agreement. The work is yours to publish, monetize and modify. Your source footage and brand materials remain yours throughout; your editor accesses them only to perform the project and treats them as confidential. Rights transfer on payment — an unapproved, uncaptured delivery is not yet licensed to you.
5. No off-platform circumvention
The Platform brings you a vetted, hand-matched editor, payment protection and a managed workspace. While using the Platform and for 12 months after your last project with a given editor, you will not hire, solicit, pay or arrange recurring editing work with a Platform editor outside the Platform to avoid fees, and will not solicit them to take the relationship off-platform. If you want to keep working with an editor, request them again or move to a retainer — on the Platform. Breach may result in account termination and a circumvention fee equal to the fees the Platform would reasonably have earned.
6. Your content & responsibilities
You warrant that you own or are licensed to use all footage, music, brand assets and materials you upload, and that they do not infringe any third party's rights or contain unlawful content. You grant the Platform and your matched editor the limited licence needed to store, process and edit your materials to deliver the project. You will not upload content that is unlawful, infringing, or that you are not permitted to share.
7. Acceptable use
Use the Platform in good faith: brief honestly, communicate in the workspace, do not misuse the revision or dispute process, and do not attempt to obtain work without paying for it.
8. Disputes
If you and your editor disagree on a delivery, our resolution process (see Terms of Service §9) reviews the brief, the workspace history and the delivery and decides the release or refund of project funds.
9. Liability
The Platform operates the marketplace and payment layer; the editing service is performed by your editor. To the extent permitted by law, the Platform's aggregate liability to you for any claim is limited to the Platform fees it earned on the relevant project(s), and it is not liable for indirect or consequential loss.
